These terms are an agreement between OWENA HQ LTD (RC 9695072, “Owena”, “we”) and the business or person using the Owena product (“you”). By creating an account or using Owena you accept them. If you use Owena for a business, you confirm you’re authorized to bind that business.
1. What Owena is — and is not
Owena is project operations software: workspaces for running outsourced projects, payment documents (proposals, quotes, contracts, invoices), payout tracking, bank-statement reconciliation, and per-project profit reporting.
Owena is not a bank, payment processor, money transmitter, or custodian. We never hold, pool, or control your funds. Payments happen between you, your clients, your contractors, and your own accounts at licensed financial institutions. Where the product connects to payment or banking services, those services are provided by licensed institutions under their own terms and regulatory obligations, and your relationship for those services is with them. Recording a payment in Owena documents it; it does not move money.
2. Accounts and workspaces
- Keep your account details accurate and your sign-in method secure; you’re responsible for activity under your account.
- A workspace belongs to the business that created it. Workspace admins control member roles and access; what members and invited contractors can see is governed by those roles.
- You must be at least 18 and using Owena for business purposes.
3. Your content and data
- Your records are yours. You can export your workspace at any time, and delete your account or workspace yourself — deletion is never conditional on payment. Our Privacy Policy explains what we collect, how we protect it, and the one statutory exception to deletion (a sealed five-year retention of financial records required by Nigerian anti-money-laundering law).
- You grant us the licence needed to host, process, and display your content to operate the service — nothing more. We don’t sell your data or use your business records to market to your contacts.
- You’re responsible for the content you and your team put into Owena, including having the right to share the personal data of team members, contractors, and clients you add.
4. Verification and compliance
- Some features — in particular any feature connected to payments — require identity or business verification first (e.g., BVN, NIN, or corporate registration checks through licensed verification providers). We may decline, limit, suspend, or close accounts that fail verification or present legal, fraud, or compliance risk.
- We comply with lawful requests from regulators and law enforcement, and we file reports required by Nigerian anti-money-laundering law. Where the law requires it, we may act on your account without prior notice.
5. Acceptable use
You may not use Owena to:
- break the law, or document transactions designed to conceal the origin, ownership, or destination of funds;
- operate as, or on behalf of, a person or entity on applicable sanctions lists;
- conduct or support dealings in arms, narcotics, or human trafficking; operate an unlicensed money-service, remittance, or deposit-taking business; or run a shell company with no genuine business activity;
- probe, overload, or interfere with the service, access another business’s data, or misrepresent your identity or business;
- resell or white-label the service without a written agreement with us.
We may suspend or terminate accounts that violate this section. Where the violation involves suspected financial crime, Nigerian law may prohibit us from telling you why.
6. Plans and billing
- Paid plans bill in advance (monthly or annually) in the currency and at the prices shown at purchase. Taxes are added where the law requires.
- If a subscription lapses, your workspace becomes read-only — it is never deleted for non-payment, and export always works. Reactivating restores full access.
- Fees are non-refundable except where the law says otherwise or we’ve published a specific refund commitment.
- We can change prices with reasonable advance notice; changes take effect at your next billing cycle.
7. Your business decisions stay yours
Owena organizes and reconciles your records; it does not provide accounting, tax, legal, or investment advice. Reports (including profit figures) are derived from the records you and your connected sources provide — you’re responsible for their accuracy and for your statutory filings. Verify independently before relying on any figure for a legal or tax purpose.
8. Intellectual property
Owena, its software, design, and branding are ours. Feedback you send us may be used to improve the product without obligation. Your business’s name, branding, and content remain yours.
9. Service changes and availability
We improve Owena continuously and may add, change, or retire features. We aim for high availability but don’t promise uninterrupted service. If we ever discontinue Owena, we’ll give reasonable notice and export remains available through the notice period.
10. Disclaimers and liability
- Owena is provided “as is”; to the maximum extent Nigerian law allows, we disclaim implied warranties.
- To the maximum extent Nigerian law allows: we are not liable for indirect or consequential losses (including lost profits or business), and our total liability for all claims in any 12-month period is limited to the fees you paid us in that period.
- Nothing in these terms excludes liability that cannot lawfully be excluded (including fraud).
11. Indemnity
If you use Owena for a business, that business will indemnify us against third-party claims arising from your content, your breach of these terms, or your violation of law — except to the extent we caused the loss.
12. Termination
You can stop using Owena and delete your workspace at any time (§3). We can suspend or terminate for breach of these terms, legal or compliance risk (§4–5), or extended non-payment (subject to the read-only promise in §6). On termination, §3’s export and retention rules, and §§8, 10, 11, 13 survive.
13. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. Talk to us first — most issues resolve at admin@owenahq.com. Otherwise, disputes go to the courts of Lagos State, Nigeria.
14. Changes to these terms
We’ll post updates here with a new date and notify account holders of material changes by email before they take effect. Continuing to use Owena after the effective date means acceptance.
